General business agreement
1. bonafide Immobilien GmbH (hereby “bonafide”) shall be compensated for the following services rendered:
A) Upon conclusion of a rental contract the landlord pays a commission of a one month warm rent (cold rent plus service charges, as stated in the rental contract) plus the legal prevailing sales tax (VAT) presently19%. For the tenant, the settlement is commission free!
B) Upon conclusion of a business lease or leases, the landlord pays respectively a commission of one month warm rent (cold rent plus service charges as stated in the lease(s)) plus the legal prevailing sales tax (VAT) presently 19%. The tenant pays respectively two months cold rents according to the lease plus the legal prevailing sales tax (VAT) presently 19%.
C) Upon completion of a purchase contract the Purchaser(s) pays a commission of 4.1% inclusive of the legal value-added tax (VAT), presently 19%. All percentages have references to the purchase price sum arranged in the purchase contract.
D) The administration and property management cost for each commercial and residential real estate object is 16.50 € per month, and 5 € per parking lot or garage, plus the prevailing legal sales tax (VAT), presently 19%.
E) For all other services rendered (including project development and property management services), will be charged 35 € per hour plus the prevailing legal sales tax (VAT), presently 19%.
2. All fees for any of the above services rendered are, without deduction, are payable within 8 days after invoiced to the account of bonafide Immobilien GmbH.
3. All statements made by the bonafide Immobilien GmbH in connection with real estate offer come from the respective vendor or landlord. bonafide Immobilien GmbH is not liable for these statements. bonafide Immobilien GmbH has no technical knowledge of whatsoever pertaining to any of the real estate object. All perspective buyer/tenant/landlord/lessee are responsible for their own due diligent assessment to procure clarity over the offered real estate object where appropriate, from professional expert. bonafide Immobilien GmbH will not be liable nor encumbered with any guaranteed of whatsoever in lieu to any of the real estate object offered.
4. The legal jurisdiction governing this agreement is German law.
5. The Regional Court of Monschau shall have jurisdiction to adjudicate any and all disputes arising out of this Agreement, unless mandatory statutory provisions require otherwise.
